Section 3 (of 3) - Financial Viability

Financial Viability

As a project funded under the 2014-2020 European Regional Development Fund, #GrowMySME must adhere to regulations brought in by the European Commission to ensure that enterprises supported are financially viable. All enterprises will need to confirm that the business is not in difficulty as defined under state aid rules, the definition of an “Undertaking in Difficulty” is stated below:

“Undertaking in difficulty’ means an undertaking in respect of which at least one of the following circumstances occurs:

In the case of a limited liability company (other than an SME that has been in existence for less than three years or, for the purposes of eligibility for risk finance aid, an SME within 7 years from its first commercial sale that qualifies for risk finance investments following due diligence by the selected financial intermediary), where more than half of its subscribed share capital has disappeared as a result of accumulated losses. This is the case when deduction of accumulated losses from reserves (and all other elements generally considered as part of the own funds of the company) leads to a negative cumulative amount that exceeds half of the subscribed share capital. For the purposes of this provision, ‘limited liability company’ refers in particular to the types of company mentioned in Annex I of Directive 2013/34/EU (1) and ‘share capital’ includes, where relevant, any share premium.
In the case of a company where at least some members have unlimited liability for the debt of the company (other than an SME that has been in existence for less than three years or, for the purposes of eligibility for risk finance aid, an SME within 7 years from its first commercial sale that qualifies for risk finance investments following due diligence by the selected financial intermediary), where more than half of its capital as shown in the company accounts has disappeared as a result of accumulated losses. For the purposes of this provision, ‘a company where at least some members have unlimited liability for the debt of the company ‘refers in particular to the types of company mentioned in Annex II of Directive 2013/34/EU.
Where the undertaking is subject to collective insolvency proceedings or fulfils the criteria under its domestic law for being placed in collective insolvency proceedings at the request of its creditors.
Where the undertaking has received rescue aid and has not yet reimbursed the loan or terminated the guarantee, or has received restructuring aid and is still subject to a restructuring plan.

State Aid: De Minimis Aid

In order to minimise distortion of competition the European Commission sets limits on how much assistance can be given without its prior approval to organisations operating in a competitive market.

Under EC Regulation 1407/2-13 (De Minimis Aid Regulation) as published in the Official Journal of the European Union 24 December 2013, the support provided is a De Minimis aid.

Please advise us now of any other De Minimis aid which your enterprise and any enterprises linked to it may have received during your current and previous two fiscal years, as we need to check that our support added to that previously received, will not exceed the threshold of €200,000 over the last 3 fiscal years. De Minimis Aid includes not only grant but also assistance such as free or subsidised consultancy services, marketing advice etc. If you are in doubt about whether previous assistance received classes as De Minimis assistance please discuss with your advisor.

Following completion of this document and the initial diagnostic review with an advisor, you will receive a letter outlining the forecasted value of aid to be provided through this scheme. This is for information purposes only but should be retained for future reference. You will receive confirmation of the actual value of aid received following completion of support, which must be retained until 31 December 2033.

Direct grants to SMEs for consultancy based activity will be provided under the General Block Exemption Regulation (GBER) Article 18. The GBER was published in the European Commission’s official journal (OJEU L 187/1) on 26 June 2014 and runs from 2014 to 2020; the full reference is Commission Regulation (EU) No 651/2014 of 17 June 2014. This Regulation was amended by Commission Regulation (EU) 2017/1084 on 14 June 2017 OJEU L 156/1 of 20.6.2017.

These will be assessed and verified in advance of applications being submitted for consideration.

During the delivery of the project we are under contractual obligation to undertake an evaluation, which will be carried out by an external organisation. We may share information about you or your business with this external organisation in order to fulfil this obligation.
Information is processed to enable us to support businesses in the Humber area, in line with the requirements of our funding.

This processing is undertaken on the basis of:-
6(1)(c)processing is necessary for compliance with a legal obligation to which the controller is subject;
6(1) (e) processing is necessary for the performance of a task carried out in the public interest or in the exercise of official authority vested in the controller;
9(2) processing is necessary for reasons of substantial public interest, on the basis of Union or Member State law which shall be proportionate to the aim pursued, respect the essence of the right to data protection and provide for suitable and specific measures to safeguard the fundamental rights and the interests of the data subject.
The terms and conditions of the EU funding require that documents and electronic information relating to the delivery of the Programme must be retained until 31st December 2033. The Local Authority as Accountable Body for the Programme is required to comply with current UK law and contractual conditions for funding.

Individuals and/or businesses may request the deletion of their data that is held by the Programme; however such requests will be dealt with on a case-by-case basis. Where the individual or business has been a recipient of funding from the Programme, details must be retained until the Programme concludes. In all cases, the Local Authority will comply with UK law and the requirements of funding bodies.
